By registering for, accessing, or using GrafBuilder (the "Service") at grafbuilder.com, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy.
If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. In that case, "you" refers to that entity.
If you do not agree to these Terms, do not use the Service.
GrafBuilder provides an AI citation tracking and content optimisation platform that:
The Service is provided on a subscription basis. Features available to you depend on your subscription plan and account status.
You must be at least 18 years old and capable of entering into a legally binding agreement to use the Service. The Service is intended for business use. By registering, you confirm you are acting in a business capacity and not as a consumer for the purposes of the Australian Consumer Law (subject to clause 11).
You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You must notify us immediately at support@grafbuilder.com if you suspect any unauthorised access to or use of your account.
Access to the full Service requires a paid subscription. Subscription plans, pricing, and included features are as described on grafbuilder.com/pricing at the time of purchase.
You authorise us to charge your nominated payment method via Stripe on a recurring basis (monthly or annually, as selected) from the date your account is activated. All amounts are in Australian Dollars (AUD) unless otherwise stated.
We may change subscription pricing with at least 30 days' notice by email or in-Service notification. Continued use of the Service after a price change takes effect constitutes your acceptance of the new pricing.
Prices are exclusive of GST unless stated otherwise. Where GST applies, it will be added to your invoice at the applicable rate.
If a payment fails, we will attempt to notify you and retry. If payment is not resolved within 7 days, we may suspend your account until payment is made.

We reserve the right to suspend or terminate your account without notice if we determine, in our reasonable judgment, that you have violated these Terms.
The Service, including its software, design, content, trademarks, and underlying technology, is owned by or licensed to GrafBuilder. Nothing in these Terms transfers any intellectual property rights to you.
You retain ownership of all data, content, and materials you submit to the Service ("Your Content"). By submitting Your Content, you grant us a limited, non-exclusive, royalty-free licence to use Your Content solely to provide and improve the Service.
Content briefs, reports, and other outputs generated by the Service based on your data are made available for your use. You acknowledge that outputs may not be unique and similar outputs may be generated for other users.
We collect and handle your personal information in accordance with our Privacy Policy. You consent to such collection and use by accepting these Terms.
The Service integrates with third-party platforms including Stripe (payments) and SMTP2GO (email delivery). Your use of those services is subject to their own terms and privacy policies. We are not responsible for the acts or omissions of third-party service providers.
We will use reasonable endeavours to make the Service available, but we do not guarantee uninterrupted or error-free access. We may:

Nothing in these Terms excludes, restricts, or modifies any rights or remedies you may have under the Competition and Consumer Act 2010 (Cth) (including the Australian Consumer Law) that cannot be excluded, restricted, or modified by agreement.
If we supply goods or services to you as a consumer under the Australian Consumer Law, you may have statutory guarantees that we cannot exclude.
You agree to indemnify and hold harmless GrafBuilder and its directors, employees, and agents from any claims, losses, damages, or expenses (including reasonable legal fees) arising out of or in connection with:
You may terminate your account at any time by cancelling your subscription and requesting account deletion. See our Cancellation and Refund Policy for details.
We may suspend or terminate your account immediately if you materially breach these Terms and, where the breach is capable of remedy, fail to remedy it within 7 days of written notice.
We may also terminate the Service entirely with 60 days' notice to all users.
On termination: your right to use the Service ceases, and we will handle your data in accordance with our Privacy Policy. Provisions that by their nature should survive termination (including Sections 7, 10, 11, and 12) will do so.
These Terms are governed by the laws of the State of New South Wales, Australia. You agree to submit to the exclusive jurisdiction of the courts of New South Wales and the federal courts of Australia.
Before commencing legal proceedings, the parties agree to attempt to resolve any dispute through good-faith negotiation for at least 30 days after written notice of the dispute.
We may update these Terms from time to time. When we do, we will revise the "Last updated" date and, where changes are material, provide at least 14 days' notice by email before the new Terms take effect.
Your continued use of the Service after the effective date of updated Terms constitutes your acceptance.
